Policies & Procedures
1. The Agreement. These Policies & Procedures govern the relationship between you, as an
Independent FreeForYou.com Independent Representative (hereafter “Independent Rep”), and FFY LLC
d/b/a FreeForYou.com (hereafter “FreeForYou.com” or the “Company”). These Policies & Procedures,
together with the Independent Rep Application and Agreement, the FreeForYou.com Merchant Services
Marketing Terms & Conditions, the FreeForYou.com Individual Arbitration Agreement and Dispute
Resolution Policy, the FreeForYou.com Compensation Plan, the ESIGN Consent, and the FreeForYou.com
Business Entity Addendum (the Business Entity Addendum is only applicable to Independent Reps who
enroll as a Business Entity) make up the Agreement between you and FreeForYou.com. Therefore, as used
in this document, the term Agreement” collectively refers to a) the Independent Rep Application and
Agreement; b) these Policies & Procedures; c) the FreeForYou.com Merchant Services Marketing Terms
& Conditions; d) the FreeForYou.com Individual Arbitration Agreement and Dispute Resolution Policy; e)
the FreeForYou.com Compensation Plan; f) the ESIGN Consent; and g) the FreeForYou.com Business Entity
Addendum, all in their current form and as may be amended in the future as provided herein and in the
FreeForYou.com Individual Arbitration Agreement and Dispute Resolution Policy. Any promises,
representations, offers, or other communications not expressly set forth in the Agreement are of no force
or effect. The Agreement is a contract, so you should be certain you understand each provision before
you execute the Agreement. You may wish to retain counsel to assist you if you wish.
2. Definitions. As used in the Agreement, the following terms are defined as follows:
Affiliated Party. An individual or Business Entity that has an ownership interest in, or formal or
informal management responsibility for, a Business Entity.
Agreement. The contract between FreeForYou.com and Independent Reps. It is comprised of: 1) the
Independent Rep Application & Agreement; 2) these Policies & Procedures; 3) the Merchant Services
Marketing Terms & Conditions; 4) the Individual Arbitration Agreement & Dispute Resolution Policy;
5) The Business Entity Addendum (applicable only to Independent Reps that operate as a Business
Entity; and 6) the FreeForYou.com Compensation Plan, each in their current forms and as modified in
the future. The most current version of each of these documents is available in your Independent Rep
Back-Office.
Bonus Buying. The purchase of or subscription to the Services (defined below) by an Independent Rep
for any reason other than bona fide commercial use, or any mechanism or artifice to qualify for rank
advancement or maintenance, incentives, prizes, commissions or bonuses that are not driven by bona
fide Service purchases/subscriptions by Clients for their actual use.
Business Entity. A corporation, partnership, limited liability company, trust or other entity that enrolls
as a FreeForYou.com Independent Rep and owns, operates or controls an independent
FreeForYou.com business.
Client. A business that obtains FreeForYou.com’s cash discount merchant processing services through
a FreeForYou.com Independent Rep.
Confidential Information. Confidential Information includes, but is not limited to:

1. The identities, contact information, and/or sales information relating to FreeForYou.com
Independent Reps and/or Clients: (a) that is contained in or derived from any Independent Rep’s
Independent Rep Back-Office; (b) that is contained in or derived from any reports issued by
FreeForYou.com to Independent Reps; and/or (c) to which an Independent Rep would not have access
or would not have acquired but for his/her affiliation with FreeForYou.com.
2. The identities and contact information of Company’s investors, borrowers, lenders, agents, brokers,
banks, lending corporations, individuals and/or trusts, vendors, suppliers, or buyers and sellers that
Independent Rep received from Company due to this Agreement.
3. Technical and business information relating to proprietary ideas and/or trade secrets, existing
and/or contemplated products or services, research and development, costs, profit and margin
information, finances and financial projections, customers, clients, marketing, and current or future
business plans and models that Company provides or discloses to Independent Rep due to this
Agreement, regardless of whether such information is designated as Confidential Information at the
time of its disclosure.
3. Any other information that Company provides to Independent Rep that is marked as “Confidential”
or that Company advises Independent Rep is confidential.
Confidential Information constitutes proprietary business trade secrets belonging exclusively to
FreeForYou.com and is provided to Independent Reps in strict confidence.
Company Contacts. The identities and contact information of Company’s investors, borrowers,
lenders, agents, brokers, banks, lending corporations, individuals and/or trusts, vendors, suppliers, or
buyers and sellers that Independent Rep received from Company due to this Agreement.
Currently Marketable Condition. FreeForYou.com Sales Tools returned to the Company are in
Currently Marketable Condition if they are unopened, unused, and packaging and labeling has not
been altered or damaged. Any Sales Tool that is clearly identified at the time of sale as nonreturnable,
closeout, discontinued, or as a seasonal item is not in Currently Marketable Condition.
Direct Selling. A business model that utilizes a multilevel compensation formula to compensate its
sales force and in which members of the sales force may recruit others to serve as independent
contractor salespersons or consumers for the business. Direct Selling is often referred to by the public
as “Network Marketing”, “Multilevel Marketing”, “Party Plan Marketing”, and “Social Selling”.
Downline. Clients and Independent Reps sponsored and enrolled below a particular Independent Rep.
FreeForYou.com Affiliate. Any third-party service provider service or technology provider with whom
FreeForYou.com works in order to provide merchant processing services to Clients including, without
limitation, acquirers, banks, clearing house organizations, and software providers.
Good Standing. A FreeForYou.com Independent Rep that: (1) is current on all payments and fees
owed FreeForYou.com; and (2) has not been under disciplinary investigation, probation, or sanction
for the immediately preceding 12 consecutive months.
Merchant Processing Agreement. The agreement between each Client and FreeForYou.com or a
FreeForYou.com Affiliate for electronic transaction processing, credit card processing, and settlement
of transactions.
Personal Information. Information that can be used to identify, locate, or contact an individual, alone

or when combined with other personal or identifying information, as well as the financial information
of such individual. Examples of Personal Information include, but are not limited to, an individual’s
name, home or other physical address, email address, telephone number, Social Security Number or
other tax identification number, passport number, driver’s license number, bank account number,
credit card or debit card number, and personal characteristics including photographic image,
fingerprints, handwriting, or other unique biometric data.
Recruit or Recruiting. The direct or indirect, actual or attempted, sponsorship, solicitation,
enrollment, encouragement, or effort to influence in any other way, by a current or former
FreeForYou.com Independent Rep, another FreeForYou.com Independent Rep to enroll or participate
in another Direct Selling opportunity. This conduct constitutes Recruiting even if the Independent
Rep’s or former Independent Rep’s actions are in response to an inquiry made by another
Independent Rep. An action that is reasonably foreseeable to result in causing a current Independent
Rep to contact a current or former Independent Rep (“Individual X”) about Individual X’s non-
FreeForYou.com business activities or the non-FreeForYou.com products or services that Individual X
is selling is “Recruiting.”
Sales Tool or Sales Tools. Promotional material used to assist in promoting the Services, or in the
promotion of a business program. Examples of Sales Tools include, but are not limited to, printed
materials, websites, audio & video recordings, social media postings and mobile applications.
Service or Services. As used herein, the terms “Service” and “Services” means the FreeForYou.com
cash discount merchant processing services that are offered by Independent Reps to prospective
Clients.
Sponsor. The Independent Rep who recruits and assists a new Independent Rep in enrolling and
becoming a FreeForYou.com Independent Rep. Independent Reps are enrolled on the first level of
their Sponsors. The act of enrolling other Independent Reps is referred to as “sponsoring”.
Upline. This term refers to the Independent Rep or Independent Reps above a particular Independent
Rep in a sponsorship line up to the Company. Conversely stated, it is the line of Sponsors that links
any particular Independent Rep to the Company.
3. Independent Contractor Status. Independent Reps are independent contractors and not employees,
partners, legal representatives, or franchisees of FreeForYou.com. Independent Reps are solely
responsible for paying all expenses they incur, including but not limited to travel, food, lodging, secretarial,
office, long distance telephone and other business expenses. INDEPENDENT REPS SHALL NOT BE
TREATED AS A FREEFORYOU.COM EMPLOYEE FOR FEDERAL OR STATE TAX PURPOSES. FreeForYou.com
is not responsible for withholding and shall not withhold or deduct FICA, or taxes of any kind from
Independent Reps’ compensation. Independent Reps are not entitled to workers compensation or
unemployment security benefits of any kind from FreeForYou.com.
In all written, graphic, or digital material used for FreeForYou.com business purposes, Independent Reps
must represent themselves as a “FreeForYou.com™ Independent Rep.” In verbal conversations with
prospective Independent Reps and Clients, Independent Reps must introduce themselves as an
“independent FreeForYou.com Independent Rep.” Independent Reps shall not lead anyone to believe that
they are employees of FreeForYou.com.

4. Income Taxes. As an independent contractor, you are responsible for paying local, state, and federal
taxes on any income generated as a FreeForYou.com Independent Rep. Every year, FreeForYou.com will
provide an IRS Form 1099 NEC (Non-employee Compensation) earnings statement to each U.S. resident
who, in the previous calendar year: 1) had earnings of $600 or more; 2) made purchases of the Service or
FreeForYou.com products for resale in excess of $5,000; or 3) received trips, prizes or awards valued at
$600 or more. If earnings, purchases for resale, or trips, prizes or awards are less than stated above, an
IRS Form 1099 NEC will be sent only at the request of the Independent Rep, and a fee may be assessed by
Company to the Independent Rep to comply with this request. To facilitate this reporting, you must
provide FreeForYou.com with your Social Security Number, Employer Identification Number, or Taxpayer
Identification Number as appropriate.
5. Adherence to the Agreement. Independent Reps must comply with the Agreement. If you have not
yet reviewed the Policies & Procedures at the time you execute this Agreement, they are posted in your
Independent Rep Back-Office. You must review the Policies & Procedures within five days from the date
on which you execute this Agreement. If you do not agree to the Policies & Procedures, your sole recourse
is to notify the Company and cancel the Agreement. Failure to cancel constitutes your acceptance of the
Policies & Procedures. You must be in Good Standing, and not in violation of the Agreement, to be eligible
for bonuses or commissions from FreeForYou.com.
6. Amendments to the Agreement. The Company reserves the right to periodically amend the
Agreement and the prices of the Services at its discretion. Amendments to Service prices shall be effective
immediately. Except for the FreeForYou.com Individual Arbitration Agreement and Dispute Resolution
Policy, Amendments to the Agreement shall be effective 30 days after notice and publication of the
amended provisions, but amendments shall not apply retroactively to conduct that occurred prior to the
effective date of the amendment. Notice of amendments shall be emailed to each Independent Rep at
the Independent Rep’s email address on file and/or posted/published in each Independent Rep’s Back
Office. If you do not agree to any amendments, your sole recourse is to cancel the Agreement. The
continuation of an Independent Rep’s FreeForYou.com business, the acceptance of any benefits under
the Agreement, the acceptance of bonuses or commissions, or the continued use of the New Client
Onboarding Link, the New Rep Onboarding Link or the Independent Rep Back-Office constitutes
acceptance of all amendments.
The foregoing provision regarding amendments to the Agreement does NOT apply to the
FreeForYou.com Individual Arbitration Agreement and Dispute Resolution Policy, which can only be
amended as provided therein via mutual consent.
7. No Purchase or Payment Required. No purchase, payment, or investment is necessary to become an
Independent Rep. There is no charge for the New Client Onboarding Link, the New Rep Onboarding Link,
or the Independent Rep Back-Office. The Company may make Sales Tools available for purchase by
Independent Reps from time to time.
8. Independent Reps’ Rights. As an Independent Rep for FreeForYou.com, Independent Rep has the
right (subject to compliance with the Agreement) to:
Solicit purchases/subscriptions for the Services;
Sell other FreeForYou.com products and services;
Recruit and sponsor/enroll others as FreeForYou.com Independent Reps and as Clients; and
Participate in the FreeForYou.com Compensation Plan if qualified.

9. Sponsoring and Placement; Parent. When an Independent Rep sponsors a new Independent Rep, the
new Independent Rep is placed in a “holding tank” for up to seven (7) days. While the new Independent
Rep is in the holding tank, the Sponsor can “place” the new Independent Rep under another Independent
Rep in the Sponsor’s Downline. The Independent Rep under whom the new Independent Rep is placed is
the “Parentof the new Independent Rep. In the event of such a placement, the Personal Point Value
(PPV) (as defined in the Compensation Plan) that is generated by the new Independent Rep becomes part
of the Group Point Value (GPV) (as defined in the Compensation Plan) of the new Independent Rep’s
Parent. Note that a placement does not affect the level commission payout structure of the Compensation
Plan. The new Independent Rep will remain on the first level of his or her Sponsor. If the Sponsor does
not place the new Independent Rep within seven (7) days as described herein, the Sponsor shall be the
Parent and Sponsor of the new Independent Rep.
10. Assignment of Rights and Delegation of Duties. Independent Reps may not assign any rights under
the Agreement. Any attempt to transfer or assign the Agreement without the express written consent of
FreeForYou.com renders the Agreement voidable at the option of FreeForYou.com and may result in
termination of the Agreement.
If the assets of FreeForYou.com, or a controlling ownership interest in FreeForYou.com, is transferred to
a third party, FreeForYou.com may assign its rights and delegate its duties and obligations to all
Independent Reps under the Agreement to such third party as part of the sale or transfer and need not
obtain Independent Reps’ prior written authorization.
11. Waiver. Any waiver by either Party of any breach of the Agreement must be in writing and signed by
an authorized agent of the Party against which the waiver is asserted. Any waiver of a breach by a Party
shall be a one-time waiver only and shall not operate or be construed as a waiver of any subsequent
breach.
12. Waiver of Right of Publicity. Independent Reps grant FreeForYou.com an irrevocable license to
reproduce and use their name, photograph, video, personal story, testimonial, social media content,
and/or likeness in its advertising or promotional materials, including but not limited to use in online
forums. Independent Reps waive all claims for remuneration for such use and all rights to inspect or
approve all draft, beta, preliminary, and finished material.
13. Minimum Age. Persons under age 18 may not be Independent Reps and no Independent Rep shall
knowingly recruit, enroll, or sponsor, or attempt to recruit, enroll, or sponsor, any person under age 18.
14. Severability. If any provision of the Agreement, in its current form or as amended, is held void or
unenforceable, only the void or unenforceable portion(s) of the provision shall be severed from the
Agreement and the remaining provisions shall remain in effect. The severed provision shall be reformed
so that it is in compliance with the law and reflects the purpose of the original provision as closely as
possible.
15. First Breach Rule. The existence of any claim or cause of action of an Independent Rep against
FreeForYou.com shall not constitute a defense to FreeForYou.com’s enforcement of any term or provision
of the Agreement.
16. Term and Renewal of the Agreement. The term of the Agreement is one year from the date of
enrollment. An Independent Rep may cancel the Agreement at any time and for any reason. In order to

continue as an Independent Rep beyond the initial term of this Agreement (unless the Agreement has
been previously terminated as provided at Sections 51 and 53), Independent Reps must renew the
Agreement each year. Independent Reps will be reminded of their upcoming renewal through their
Independent Rep Back-Offices and email. At that time, Independent Reps may elect to renew or cancel
the Agreement. FreeForYou.com reserves the right to elect not to renew an Independent Rep’s
Agreement at its option upon 30 days’ prior written notice.
A participant in this Direct Selling program has a right to cancel at any time, regardless of reason.
Cancellation must be submitted via the Independent Rep’s Back-Office. Notwithstanding the foregoing, if
an Independent Rep resides in a state that permits the submission of the cancellation notice in writing,
the written notice may be sent to the Company at its principal business address and must include the
Independent Rep’s signature, printed name, address, and Independent Rep I.D. Number.
17. Company Right to Terminate All Independent Rep Agreements on 30 Days’ Notice. FreeForYou.com
reserves the right to terminate all Independent Rep Agreements upon 30 days’ notice if the Company
elects to: (1) cease business operations; (2) dissolve as a business entity; (3) terminate distribution of
the Services via Direct Selling channels; or (4) the assets of FreeForYou.com, or a controlling ownership
interest in FreeForYou.com, is transferred to a third party.
18. Termination Due to Company Transfer Buyout. In the event the assets of FreeForYou.com, or a
controlling ownership in FreeForYou.com is transferred to a third party and as a result of such transfer the
Agreement is terminated pursuant to Section 17, FreeForYou.com shall buyout Independent Rep’s
FreeForYou.com business pursuant to the following terms: Company shall pay to Independent Rep an
amount that is based upon the Independent Rep’s average compensation under the Compensation Plan
for the three month period prior to the termination of the Agreement pursuant to the following formula:
If the three month average is between $0 and $4,000, the buyout amount shall be 12 X the three
month average.
If the three month average is between $4,001 and $8,000, the buyout amount shall be 18 X the three
month average.
If the three month average is between $8,001 and $12,000, the buyout amount shall be 20 X the three
month average.
If the three month average is between $12,001 and $16,000, the buyout amount shall be 22 X the
three month average.
If the three month average is $16,001 or more, the buyout amount shall be 24 X the three month
average.
19. Survival. Any provision of the Agreement which by its terms is to be performed after the termination
of this Agreement shall survive the expiration or termination of the Agreement, regardless of the reason
for its expiration or termination. This includes, but is not limited to, the FreeForYou.com Individual
Arbitration Agreement and Dispute Resolution Policy, and Sections 12 (Waiver of Right of Publicity), 26
(Trademarks and Copyrights), 35 (Nonsolicitation), 36 (Confidential Information), 37 (Company Contacts),
and 54 (Indemnification).
20. General Conduct. Independent Reps shall safeguard and promote the good reputation of
FreeForYou.com and the Services, and must avoid all illegal, deceptive, misleading, unethical, or immoral
conduct or practices. Independent Reps agree that they shall exhibit high moral character in their personal
and professional conduct. Independent Reps shall not engage in any conduct that may damage the

Company’s goodwill or reputation. While it is impossible to specify all misconduct that would be contrary
to this provision, and the following list is not a limitation on the standards of conduct to which
Independent Reps must adhere pursuant to this section, the following standards specifically apply to
Independent Reps’ activities:
Deceptive conduct is always prohibited. Independent Reps must ensure that their statements relating
to FreeForYou.com, the FreeForYou.com opportunity, or the Services are truthful, fair, accurate, and
are not misleading.
Independent Reps may not represent or imply that any state or federal government official, agency, or
body has approved or endorsed FreeForYou.com, its program, or the Services.
Independent Reps must not engage in any conduct (including without limitation illegal, fraudulent,
deceptive, or manipulative conduct) in their business or their personal lives that could reasonably be
foreseen to damage the Company’s reputation, the reputation of the Services, or the culture that exists
within the field sales force.
Independent Reps must not engage in any conduct in their business or personal capacities that may
reasonably be considered bullying, sexually explicit, obscene, pornographic, offensive, profane, hateful,
threatening, harmful, defamatory, libelous, harassing, or discriminatory (whether based on race,
ethnicity, creed, religion, gender, sexual orientation, physical disability, or otherwise), is graphically
violent, is solicitous of any unlawful behavior, that engages in personal attacks on any individual, group,
or entity, or is in violation of any intellectual property rights of the Company or any third party.
Independent Reps shall not disclose any third-party’s Personal Information without the express consent
of such third party.
Independent Reps shall not publicly promote a social, political or religious agenda in their business or
personal capacities that may reasonably be foreseen as controversial.
21. Training and Leadership. Independent Reps agree that, although they are independent contractors,
because they have the ability to earn compensation based on the sales and other activities of their
Downline teams, they must participate and assist in the training of their personally sponsored
Independent Reps and other Independent Reps in their Downline teams. As such, Independent Reps agree
as follows:
Any Independent Rep who is the Sponsor of another FreeForYou.com Independent Rep must perform
an authentic assistance and training function to ensure those in their Downline are properly operating
their FreeForYou.com business. Sponsors should have ongoing contact and communication with the
Independent Reps in their Downline organizations. Examples of communication may include, but are
not limited to, newsletters, written correspondence, telephone, contact, team calls, voicemail, e-mail,
personal meetings, accompaniment of Downline Independent Reps to FreeForYou.com meetings,
training sessions and any other related functions.
Sponsors should monitor the Independent Reps in their Downline organizations to ensure that
Downline Independent Reps do not make improper Service or business claims or engage in any illegal
or inappropriate conduct.
Upline Independent Reps are encouraged to motivate and train new Independent Reps about the
Services, effective sales techniques, the Compensation Plan, and compliance with these Policies &
Procedures.
Promoting the Services is a required activity in FreeForYou.com and must be emphasized in all
presentations regarding the FreeForYou.com opportunity. In fact, the Company emphasizes that all
Independent Reps enroll Clients for the Services in order to receive bonuses and commissions under
the Compensation Plan.

22. Social Media. In addition to meeting all other requirements specified in these Policies & Procedures,
should an Independent Rep utilize any form of social media in connection with her FreeForYou.com
business, including but not limited to blogs, Facebook, X, Instagram, LinkedIn, YouTube, or Pinterest, the
Independent Rep agrees to each of the following:
Independent Reps shall obtain all licenses (including but not limited to copyright licenses) for any
third-party content that they post or republish.
Independent Reps are responsible for the content of all material that they produce and all of their
postings on any social media site, as well as all postings on any social media account that they own,
operate, or control.
Independent Reps agree that they shall not make any claims regarding the Services, income claims
(including lifestyle claims), or compensation plan claims in any social media posting unless such claims
are in compliance with the provisions of Sections 32 and 33 as applicable.
Independent Reps shall not make any social media postings, or link to or from any postings or other
material that are sexually explicit, obscene, pornographic, offensive, profane, hateful, threatening,
harmful, defamatory, libelous, harassing, or discriminatory (whether based on race, ethnicity, national
origin, creed, religion, gender, gender identity, sexual orientation, physical or mental disability, or
otherwise), is graphically violent, is solicitous of any unlawful behavior, that engages in personal
attacks on any individual, group, or entity, or is in violation of any intellectual property rights of the
Company or any third party.
No Client or Independent Rep enrollments may occur on or through any social media site. To process
Service sales/subscriptions and Client and Independent Rep enrollments, a social media posting must
link only to the Independent Rep’s New Client Onboarding Link or New Rep Onboarding Link (as
applicable), FreeForYou.com’s corporate website or an official FreeForYou.com corporate social
media page.
It is each Independent Rep’s responsibility to follow the social media site’s terms of use.
Any social media account that is directly or indirectly operated or controlled by an Independent Rep
that is used to discuss or promote the Services or the FreeForYou.com opportunity may not contain
any posts that promote the products, services, or business program of any Direct Selling company
other than FreeForYou.com. Nor may any such social media account link to any website or social
media page or account that promotes the products, services, or business program of any Direct Selling
company other than FreeForYou.com.
During the term of this Agreement and for a period of 12 calendar months following the cancellation
of the Agreement for any reason, an Independent Rep may not use any social media account on which
they discuss or promote, or have discussed or promoted, the FreeForYou.com business or the Services
to directly or indirectly solicit anyone for another Direct Selling program. Violation of this provision
shall constitute a violation of the nonsolicitation provision in Section 35.
During the term of the Agreement and for 12 calendar months after the cancellation of the Agreement
for any reason, an Independent Rep shall not take any action on any social media account or page on
which they discuss or present, or have discussed or presented, the Services or the FreeForYou.com
business that may reasonably be foreseen to draw an inquiry from FreeForYou.com’s Independent
Reps relating to the Independent Rep’s other Direct Selling business activities or products. Violation
of this provision shall constitute a violation of the nonsolicitation provision in Section 35.
If an Independent Rep creates a business page, team page, or group page on any social media site for
purposes of promoting the Independent Rep’s FreeForYou.com business, the FreeForYou.com
opportunity, or the promotion of the Services, the page may not promote or advertise the products,
services, or opportunity of any Direct Selling business other than FreeForYou.com. If the Agreement
is cancelled for any reason, the Independent Rep must immediately deactivate the page or, at the

former Independent Rep’s option, turn over administrative rights to the page to FreeForYou.com so
that the Company may deactivate the page.
Independent Reps shall not post any content, or link to or from any content of a third-party, that
promotes a social, political or religious agenda that may reasonably be foreseen as controversial.
Independent Reps shall respect the privacy of other social media users. Independent Reps shall not
engage in abusive social media practices including but not limited to harvesting or trolling for
connections, shaming, or bullying others.
23. Independent Rep Websites and Mobile Apps. Unless an Independent Rep has received express
written approval from the Company, an Independent Rep may not create their own websites or mobile
applications to promote their FreeForYou.com business or the Services. The Services may only be sold or
promoted, and new FreeForYou.com Independent Reps or Clients may only be enrolled, at: (i) the official
FreeForYou.com website, (ii) FreeForYou.com-supplied New Client Onboarding and New Rep Onboarding
Links, and (iii) official FreeForYou.com mobile apps (if applicable). Independent Reps may not use any non-
FreeForYou.com website or app to sell or promote the sale of the Services. Prohibited online forums
include, but are not limited to, Independent Reps’ personal websites, online retailers (e.g., Amazon) online
auctions (e.g., eBay), and classified listings (e.g., Craigslist).
If an Independent Rep wishes to use a personal website to promote their FreeForYou.com business and
the Services, the Independent Rep must submit a beta version of the website to the Company for review.
Unless the Independent Rep has received written approval to use and publish the website, the request
shall be deemed denied. FreeForYou.com reserves the right to refuse approval for an Independent Rep-
created website at its sole discretion. If an Independent Rep-created website is approved by the Company,
any amendments to the website must also be submitted to FreeForYou.com and receive written approval
before going live.
A personal website that does not comply with the following requirements will not be approved under any
circumstance.
The website may not be enabled to take or process subscriptions for the Services.
The website may not be enabled to process Independent Rep or Client enrollments.
The website must be directed to the Independent Rep’s FreeForYou.com New Client Onboarding and
New Rep Onboarding Links to process Client and Independent Rep enrollments.
The website must clearly and conspicuously a) identify the Independent Rep who is operating the
website; b) disclose that he/she is a FreeForYou.com Independent Rep; and c) disclose that the
website is not FreeForYou.com’s corporate website.
Websites that do not identify the Independent Rep who is the promoter of the site and/or that he/she
is promoting the Services or the FreeForYou.com opportunity (so called “blind” websites), are not
permitted.
The website must exclusively promote the Services and the FreeForYou.com opportunity.
The website must comply with all applicable provisions of these Policies & Procedures.
FreeForYou.com reserves the right to rescind approval for any approved personal website, and
Independent Reps waive all claims against FreeForYou.com, its officers, directors, owners, employees,
and agents for damages, expenses, costs, or remuneration of any other nature arising from or relating
to such rescission. Upon cancellation of an Independent Rep’s FreeForYou.com Agreement for any
reason, the former Independent Rep must immediately remove the website from the internet.

24. Sales Tools. FreeForYou.com makes a wide variety of Sales Tools available to Independent Reps to
use to promote their independent FreeForYou.com businesses and the Services. However, the Company
recognizes that some Independent Reps may wish to create and use their own Sales Tools as well. If an
Independent Rep wishes to create and use his or her own Sales Tools (including, without limitation,
advertising materials, promotional materials, and all other marketing methods), the proposed Sales
Tool(s) must be submitted to the Company and receive written approval before they can be used or made
public. Unless the Independent Rep has received written approval to produce and use a proposed Sales
Tool, the request shall be deemed denied. FreeForYou.com reserves the right to refuse approval for an
Independent Rep-created Sales Tool at its sole discretion. FreeForYou.com further reserves the right to
rescind approval for any previously approved Sales Tools, and Independent Reps waive all claims
against FreeForYou.com, its officers, directors, owners, employees, and agents for damages, expenses,
costs, or remuneration of any other nature arising from or relating to such rescission.
Independent Reps who receive written authorization from FreeForYou.com to produce and publish Sales
Tools may make approved Sales Tools available to other Independent Reps and may sell such Sales Tools
to other Independent Reps provided the Sales Tools are sold to other Independent Reps at the selling
Independent Rep’s cost. That is, Independent Reps may not make any profit from the sale of Sales Tools
to other Independent Reps; they may only cover their own expenses for the production of the Sales Tools
that they sell. Any sale or attempt to sell Sales Tools to another Independent Rep at a profit will result in
the termination of the offending Independent Rep’s FreeForYou.com business. Independent Rep-
produced Sales Tools must not contain any claims regarding the Services, income claims, or compensation
plan claims unless such claims are in compliance with Sections 32 and 33, below.
25. Sale or Distribution of Third Party Sales Tools or Training Materials Prohibited. Independent Reps
agree that they shall not sell or distribute third party Sales Tools or training materials to other Independent
Reps. Third party Sales Tool or training materials are promotional and training materials, regardless of
format or media, that an Independent Rep has acquired from a person or entity other than the Company
and that the Independent Rep did not personally create or develop.
26. Trademarks and Copyrights. The name “FreeForYou.com” and other names and logos as may be
adopted by the Company are proprietary trade names, trademarks, and service marks of FreeForYou.com.
The Company grants Independent Reps a limited license to use its trademarks and trade names in
promotional materials as permitted elsewhere in these Policies & Procedures for so long as the
Independent Rep’s Agreement is in effect. Upon cancellation of an Independent Rep’s Agreement for any
reason, the license shall expire, and the Independent Rep shall immediately discontinue all use of the
Company’s trademarks and trade names. Under no circumstances may an Independent Rep use any of
FreeForYou.com’s trademarks or trade names in any email address, website domain name, social media
handle, social media name or address, or in any unapproved Sales Tools.
FreeForYou.com regularly produces live and recorded events as well as webinars and telephone
conference calls. During these events Company executives, Independent Reps, and guests appear and
speak. The content of such events is copyrighted material that is owned exclusively by the Company.
Independent Reps may not record company functions for any reason, whether such event is live, a
webinar, via conference call, or delivered through any other medium.
In addition, Company produced Sales Tools, videos, audios, podcasts, and printed material are also
copyrighted. Independent Reps shall not copy or make derivatives of any such materials for their personal
or business use without the Company’s prior written approval.

Independent Reps shall not utilize any third-party content without first obtaining a license for such use by
the owner of the intellectual property rights to the third-party content.
27. Service Sales. The FreeForYou.com Compensation Plan is based on the sale of the Services and the
enrollment of bona fide Clients. Independent Reps must fulfill personal and Downline organization sales
requirements specified in the Compensation Plan (as well as meet other responsibilities set forth in the
Agreement) to be eligible for bonuses, commissions, and advancement to higher levels of achievement.
28. Bonus Buying. Bonus Buying (as defined in Section 2 above) is strictly prohibited.
29. Territories. There are no exclusive territories granted to any Independent Rep.
30. Change of Sponsor. As a rule, Independent Reps may not change their Sponsors (the Independent
Reps under whom they are enrolled). The only means by which an Independent Rep may legitimately
change his/her Sponsor are by:
Voluntarily canceling the Agreement in writing and remaining inactive for six (6) full calendar months.
Following the six-calendar month period of inactivity, the former Independent Rep may reapply under
a new Sponsor. The Independent Rep will lose all rights to his/her former Downline organization upon
his/her cancellation; or
Submitting a properly completed and signed Sponsorship Transfer Form to the Company. The
Sponsorship Transfer Form must be signed by the Sponsor and the Parent (if applicable) of the
requesting Independent Rep as well as the highest ranking Independent Rep who is above the
requesting Independent Rep in such Independent Rep’s Upline. The Sponsorship Transfer Form may
be downloaded from your Independent Rep Back-Office.
Note that if an Independent Rep who has been placed under a Parent pursuant to Section 9 changes his
or her Sponsor, relationship between the subject Independent Rep and his or her Parent shall be
terminated. The new Sponsor of such an Independent Rep may place the Independent Rep under another
Independent Rep as provided in Section 9 above.
31. Waiver of Claims. In cases wherein an Independent Rep improperly changes his/her Sponsor,
FreeForYou.com reserves the sole and exclusive right to determine the final disposition of the Downline
organization that was developed by the Independent Rep in his/her second line of sponsorship.
INDEPENDENT REPS WAIVE ANY AND ALL CLAIMS AGAINST FREEFORYOU.COM, ITS OFFICERS,
DIRECTORS, OWNERS, EMPLOYEES, AND AGENTS THAT RELATE TO OR ARISE FROM
FREEFORYOU.COM’S DECISION REGARDING THE DISPOSITION OF ANY DOWNLINE ORGANIZATION
THAT DEVELOPS BELOW AN INDEPENDENT REP WHO HAS IMPROPERLY CHANGED HIS/HER SPONSOR.
32. Income Claims Income Disclosure Statement Required. When presenting or discussing the
FreeForYou.com opportunity or Compensation Plan to a prospective Independent Rep, Independent Reps
may not make income projections, income claims, income testimonials, or disclose their FreeForYou.com
income, or the income of any other FreeForYou.com Independent Rep, or make lifestyle income claims
unless, at the time that the representation is made the Independent Rep provides each person to whom
he or she is making the representation a current copy of the FreeForYou.com Independent Disclosure
Statement. Independent Reps may download the current Income Disclosure Statement via their Back-
Offices.

Note that a lifestyle income claim is a statement or depiction that infers or states that the Independent
Rep is able to enjoy a luxurious or successful lifestyle due to the income they earn from their
FreeForYou.com business. Examples of prohibited lifestyle claims include, but are not limited to, the
following types of representations:
That an Independent Rep (or his/her spouse) was able to quit his/her job.
That an Independent Rep was able to replace his/her income from a job.
That an Independent Rep was able to pay for a child’s private school or college education due to
his/her FreeForYou.com earnings.
That an Independent Rep was able to acquire expensive or luxury material possessions (e.g., homes,
cars, jewelry, boats, recreational vehicles, etc.).
That because of his/her FreeForYou.com earnings an Independent Rep was able to travel to exotic or
expensive destinations.
The foregoing income claims restrictions apply to in-person presentations as well as promotional
materials distributed by an Independent Rep including social media postings.
33. Compensation Plan and Opportunity Claims. When presenting or discussing the FreeForYou.com
Compensation Plan and/or the FreeForYou.com opportunity, Independent Reps must make it clear to
prospects that financial success in FreeForYou.com requires commitment, effort, and sales skill.
Independent Reps must never represent that one can be successful without diligently applying
themselves. Examples of misrepresentations in this area include, but are not limited to:
It’s a turnkey system.
The system will do the work for you.
Just get in and your downline will build through spillover.
Just join and I’ll build your downline for you.
The Company does all the work for you.
You don’t have to sell anything.
All you have to do is subscribe to the Service.
The above are just examples of improper representations about the Compensation Plan and the
Company’s program. It is important that Independent Reps do not make these, or any other
representations, that could lead a prospect to believe that they can be successful as an Independent Rep
without commitment, effort, and sales skill.
34. Media Inquiries. Independent Reps must not interact with the media regarding the FreeForYou.com
business or the Services. All inquiries from the media, including radio, television, print, online, or any other
medium, shall be directed to the FreeForYou.com marketing department.
35. Nonsolicitation. Independent Reps are free to participate in other Direct Selling programs. However,
during the term of this Agreement and for one year following the termination or cancellation of the
Agreement for any reason, an Independent Rep may not directly or indirectly Recruit other
FreeForYou.com Independent Reps (except for the Independent Rep’s personally sponsored Independent
Reps) for any other Direct Selling business.
If an Independent Rep is engaged in another Direct Selling program, it is the responsibility of the
Independent Rep to ensure that his or her FreeForYou.com business is operated entirely separate and

apart from all other businesses and/or Direct Selling programs. To this end, the Independent Rep must
not:
Display FreeForYou.com Sales Tools or otherwise promote the Services with or in the same location
as any non-FreeForYou.com Sales Tools, products, or services.
Offer the FreeForYou.com opportunity or the Services to prospective or existing Clients or
Independent Reps in conjunction with any other Direct Selling program, opportunity, products, or
services.
Offer, discuss, or display any non-FreeForYou.com opportunity, products, services, or opportunity at
any FreeForYou.com-related meeting, seminar, convention, webinar, teleconference, or other
function.
With respect to the promotion of the Services or the FreeForYou.com opportunity, as well as other Direct
Selling programs or products or services on social media, see Section 22.
36. Confidential Information. Independent Reps agree that they shall not, directly or indirectly disclose
any Confidential Information to any third party without the express written authorization of
FreeForYou.com. Independent Reps further agree that they shall not use any of the Confidential
Information for any purpose other than for purposes of building and managing their Independent
FreeForYou.com businesses. If a FreeForYou.com Independent Rep or former Independent Rep
(“Independent Rep 1”) is in the Downline of another FreeForYou.com Independent Rep (“Independent
Rep 2”) in another Direct Selling business, there shall be a rebuttable presumption that Independent Rep
2 used FreeForYou.com’s Confidential Information to Recruit Independent Rep 1 into the other Direct
Selling business.
37. Company Contacts. During the term of the Agreement and for a period of one year following its
termination for any reason, Independent Reps agree that they shall not disclose, reveal, make use of, or
seek to do business with any of Company’s Company Contacts without the prior written consent of the
Company.
38. Non-Circumvention. Independent Rep and Company (each a Party”) agree, for themselves and for
their respective officers, directors, agents, associates, representatives, or other related parties, that they
will not, directly or indirectly, contact, deal with, or otherwise become involved with any entity or party,
directly or indirectly, by or through the other Party, for the purpose of avoiding or subverting any
compensation or payment due to such Party in connection with profits, fees, or other amounts without
the specific written approval of the other Party.
This Non-Circumvention provision is an essential and material part of the Agreement, by which each Party
agrees it shall not use any advantages derivable from the Confidential Information, Company Contacts,
origination activities, development activities, or sales activities provided by the other Party, unless the
same is done pursuant to an amendment to this Agreement executed by both Independent Rep and the
Company.
In case of circumvention in violation of this Non-Circumvention provision, the Company and Independent
Rep agree and guarantee that they will pay a legal monetary penalty that is equal to the (1) commission
or fee the circumvented Party should have realized in such transactions, by the person(s) engaged on the
circumvention for each occurrence; or (2) revenue generated or loss avoided by the circumvention.

39. Handling Personal Information. If an Independent Rep receives Personal Information from or about
an Independent Rep, a prospective Independent Rep, a Client, or a prospective Client, it is the
Independent Rep’s responsibility to maintain the security of the Personal Information and to shred,
destroy, or irreversibly delete the Personal Information of others once the Independent Rep no longer
needs it. To the extent that it is necessary for an Independent Rep to store or maintain Personal
Information of others, the Independent Rep must store or maintain the information in a secure location,
whether physical or digital. Credit card and payment information must be destroyed/deleted immediately
upon processing of payment.
40. Limitations on Independent Rep and Household Businesses. An individual may own, operate, control,
or have an interest in only one FreeForYou.com business, and there may be no more than two
FreeForYou.com businesses per household. A household” is defined as all individuals including
dependent children who are living at the same residential address as a family or in a family-like setting. A
household may consist of a single individual or two or more individuals and may consist of individuals
living together in a family-like unit who are not related (whether by blood, marriage, domestic
partnership, adoption or otherwise. Dependent children attending school away from home are
considered part of the household. FreeForYou.com will consider exceptions to this Policy on a case-by-
case basis upon written request submitted to the Compliance Department
(compliance@freeforyou.com).
41. Business Entities and Affiliated Parties. If any Business Entity or Affiliated Party violates the
Agreement, the violation may be imputed, and corresponding disciplinary action may be taken as
reasonably decided by the Company, against the Business Entity, the Affiliated Party(s), all of the owners
of the Business Entity and/or Affiliated Party(s) collectively, or jointly and severally against any of the
Business Entity owners and/or Affiliated Party(s).
42. Actions of Third Parties. If a third party acting on behalf of, or with the active or passive assistance or
knowledge of an Independent Rep engages in conduct that would be a violation of the Agreement, the
conduct of the third-party may be imputed to the Independent Rep. “Knowledge” of misconduct is not
limited to actual knowledge. If an Independent Rep engages in acts or omissions that the Independent
Rep knows or SHOULD KNOW will enable a third party to violate this Agreement if such action was taken
by the Independent Rep, the Independent Rep shall be deemed to have knowledge of the violation.
43. Negative Comments/Nondisparagement. Negative comments in the field serve only to sour the
enthusiasm of other Independent Reps. Therefore, Independent Reps must not disparage, libel, slander,
demean, or make negative or critical comments to third parties or other Independent Reps about
FreeForYou.com, its owners, officers, directors, management, employees, other FreeForYou.com
Independent Reps, the Services, or the Compensation Plan. All criticism must be directed exclusively to
the Company at support@freeforyou.com.
44. Transaction Submission Integrity. It is essential to the success of the Company, its Independent Reps,
and Clients, that submissions of transactions to the Company maintain integrity of communication. It is to
be expected that all transactions submissions to the Company, including, but not limited to, Independent
Rep and Client applications and enrollments, Independent Rep communications, Independent Rep
financial transactions, and Client transactions, be submitted by the individual or entity involved in the
transaction. Third party submission of any and all transactions submissions is prohibited. An Independent
Rep may not communicate any transactions submissions on behalf of another Independent Rep,
Independent Rep applicant, or Client. An Independent Rep may not use his or her credit card or bank

account on behalf of another individual or Independent Rep. This rule is applicable to any and all forms of
transactions submissions, including, but not limited to, online, telephone, fax, email, etc.
45. Bonus and Commissions Qualifications and Accrual. An Independent Rep must be active and in
compliance with the Agreement to qualify for bonuses and commissions. So long as an Independent Rep
complies with the terms of the Agreement, FreeForYou.com shall pay commissions and bonuses to such
Independent Rep in accordance with the Compensation Plan.
46. Adjustment to Bonuses and Commissions. Compensation stemming from fees generated from
purchase transactions via the Services is fully earned when the applicable return, repurchase, and
chargeback periods applicable to such transactions have all expired. If such a purchase is reversed or a
chargeback occurs, the compensation attributable to merchant fees from the reversed or charged back
transaction will be recovered by the Company from the Independent Reps who were paid commissions
or bonuses based on the original transactions. Such unearned compensation will be deducted (clawed
back), in the month in which the reversal or chargeback occurs and continuing every pay period thereafter
until the commissions are fully recovered from the Independent Reps who received bonuses and
commissions on the merchant fees generated by such reversed or charged back transaction.
FreeForYou.com may also withhold or reduce an Independent Rep’s compensation as necessary to comply
with any garnishment or court order directing FreeForYou.com to retain, hold, or redirect such
compensation to a third party.
FreeForYou.com reserves the right to withhold all or part of an Independent Rep’s compensation as it
deems appropriate to claw back any compensation as provided herein.
FreeForYou.com’s right of setoff shall not constitute FreeForYou.com’s exclusive means of collecting funds
due FreeForYou.com pursuant to this policy.
47. Return of Sales Tools by Independent Reps Upon Cancellation or Termination. Within 30 days from
the cancellation or termination of an Independent Rep’s Agreement, the Independent Rep may return
Sales Tools that he or she personally purchased from FreeForYou.com during the 12-month period
preceding the date of cancellation or termination for a refund so long as the Sales Tools are in Currently
Marketable Condition. (The one-year limitation shall not apply to residents of Louisiana, Maryland,
Massachusetts and Wyoming and Puerto Rico). Upon the Company’s timely receipt of returned Sales Tools
and confirmation that they are in Currently Marketable Condition, the Independent Rep will be
reimbursed 90% of the net cost of the original purchase price(s). Shipping and handling charges will not
be refunded. If the purchases were made through a credit card, the refund will be credited back to the
same account.
48. Louisiana, Massachusetts, and Wyoming Residents: If a resident of Louisiana, Massachusetts, or
Wyoming cancels the Independent Rep Agreement, upon receipt of a written request from such canceling
Independent Rep, FreeForYou.com will refund 90% of the costs incurred by such canceling Independent
Rep to participate in the program during the one-year period immediately preceding the date of the
cancellation.
49. Maryland Residents: An Independent Rep who resides in Maryland may cancel the contract for any
reason within 3 months after the date of receipt of goods or services first ordered; upon cancellation, the
Company shall repurchase the goods; and the repurchase price shall be at least 90% of the original price

paid by the Independent Rep.
50. Puerto Rico Residents: A Puerto Rico resident may cancel this Agreement at any time within 90 days
from the date of enrollment, or at any time upon showing the Company’s noncompliance with any of the
essential obligations of the distribution contract or any act or omission by the Company adversely
affecting the interests of the cancelling Independent Rep in the development of the market of the
properties or services. Such cancellation must be sent to the Company in writing and sent via registered
mail. If a Puerto Rico resident cancels under these conditions, the Company shall: (a) Reacquire the total
of the products that he/she purchased from the Company which are in his/her possession and in good
condition at a price of not less than ninety percent (90%) of their original net cost; (b) Return to the
cancelling Independent Rep not less than ninety percent (90%) of the original net cost of any services that
he/she acquired from the Company; (c) Return 90% of any sum paid by the cancelling Independent Rep
for the purpose of participating in the business.
51. Compliance Measures / Disciplinary Sanctions. Violation of any term of the Agreement, violation of
any common law duty, including, but not limited to any applicable duty of loyalty, any illegal, fraudulent,
deceptive or unethical business conduct, or any act or omission by an Independent Rep that the Company
reasonably believes may damage its reputation or goodwill (such damaging act or omission need not be
related to the Independent Rep’s FreeForYou.com business), may result, at FreeForYou.com’s discretion,
in one or more of the following corrective measures:
Issuance of a written warning;
A requirement that the Independent Rep take immediate corrective measures;
FreeForYou.com may withhold from an Independent Rep all or part of the Independent Rep’s bonuses
and commissions during the period that FreeForYou.com is investigating any conduct allegedly in
violation of the Agreement. If an Independent Rep’s business is canceled for disciplinary reasons, the
Independent Rep will not be entitled to recover any commissions withheld during the investigation
period;
The removal of one or more Downline Independent Reps from the offending Independent Rep’s
Downline organization/team.
Suspension and/or termination of the offending Independent Rep’s New Client Onboarding Link, New
Rep Onboarding Link, and/or Independent Rep Back-Office access;
Suspension of the individual’s Independent Rep Agreement and independent FreeForYou.com
business for one or more pay periods (without pay);
Involuntary termination of the offender’s Independent Rep Agreement; or
Any other measure expressly allowed within any provision of the Agreement or which
FreeForYou.com deems appropriate to address the misconduct or appropriate to equitably resolve
injuries caused partially or exclusively by the Independent Rep’s policy violation or contractual breach.
In situations deemed appropriate by FreeForYou.com, the Company may institute legal proceedings for
monetary and/or equitable relief, subject to the FreeForYou.com Individual Arbitration Agreement and
Dispute Resolution Policy.
52. Disclosure of Compliance Measure / Disciplinary Sanction to Upline. If a disciplinary sanction or
compliance measure is taken against an Independent Rep pursuant to Section 51, the Company may
disclose the details of the matter and its resolution to the disciplined Independent Rep’s Sponsor and
other Upline leaders.

53. Cancellation or Termination of the Agreement
Automatic Cancellation. This Agreement shall automatically terminate if: (i) Visa, MasterCard,
Discover Network, American Express, or any of FreeForYou.com’s Affiliate prohibits FreeForYou.com
from providing, or prohibits FreeForYou.com from allowing Independent Rep to provide, the Services
or the services set forth in the Merchant Services Marketing Terms & Conditions; (ii) the agreement
between FreeForYou.com and Visa, MasterCard, Discover Network, American Express, or a necessary
FreeForYou.com Affiliate is terminated; (iii) “Member(as defined in the Merchant Services Marketing
Terms & Conditions) is no longer a member of MasterCard or Visa; (iv) FreeForYou.com is no longer
an acquirer for Discover Network; or (v) it becomes impossible or impractical for FreeForYou.com to
perform by reason of changes to the Rules (as defined in the Merchant Services Marketing Terms &
Conditions) or regulations of any other provider of services to FreeForYou.com, or changes to federal,
state, or local laws, regulations, or ordinances which this Agreement cannot reasonably be modified
to accommodate.
Voluntary Cancellation. A participant in this Direct Selling plan has a right to cancel at any time,
regardless of reason. Cancellation must be submitted through the Independent Rep Back-Office.
Notwithstanding the foregoing, if an Independent Rep resides in a state that permits the submission
of the cancellation notice in writing, the written notice may be sent to the Company at its principal
business address and must include the Independent Rep’s signature, printed name, address, and
Independent Rep I.D. Number. An Independent Rep may also voluntarily cancel the Agreement by
withdrawing consent to contract electronically.
Involuntary Cancellation. FreeForYou.com may immediately terminate the Agreement for:
(i) Independent Rep’s violation of any term of the Agreement, violation of any common law duty,
including, but not limited to any applicable duty of loyalty, any illegal, fraudulent, deceptive or
unethical business conduct, or any act or omission by an Independent Rep that the Company
reasonably believes may damage its reputation or goodwill (such damaging act or omission need
not be related to the Independent Rep’s FreeForYou.com business), may result, at
FreeForYou.com’s discretion, in the termination of this Agreement as provided in Section 51
above.
(ii) Independent Rep: (a) files for bankruptcy, receivership, insolvency, reorganization, dissolution,
liquidation, or any similar proceeding; (b) has a proceeding instituted against him or her and such
proceeding is not dismissed within sixty (60) days; (c) makes an assignment for the benefit of
creditors or an offer of settlement, extension or composition to his or her creditors generally; or
(d) a trustee, conservator, receiver or similar fiduciary is appointed for that Independent Rep or
substantially all of Independent Rep’s assets.
(iii) Any representation or warranty made by Independent Rep or any of Independent Rep’s
employees, officers, or directors proves to have been false or misleading in any material respect
as of the date made, or becomes false or misleading at any time, including representations
regarding the referral of a prospective Client.
(iv) Independent Rep: (a) knowingly engages in activities which repeatedly violate the Rules (as
defined in the Merchant Services Marketing Terms & Conditions), federal or state laws and
regulations or which cause FreeForYou.com to repeatedly violate the same; (b) operates in an
unsound, unsafe manner; (c) engages in activities which may impose financial risk to
FreeForYou.com or Member (as defined in the Merchant Services Marketing Terms &
Conditions), or which result in undue economic hardship and/or damage to the goodwill of
FreeForYou.com, Member, Visa, MasterCard or Discover Network; (d) the Independent Rep or

its Associated Sales Personnel (as defined in the Merchant Services Marketing Terms &
Conditions) make any attempt to convert any Client from FreeForYou.com to any other entity
performing services similar to FreeForYou.com; or (e) if in the sole discretion of FreeForYou.com
determines that Independent Rep is negatively affecting the business reputation of
FreeForYou.com by the business activities of Independent Rep or its Associated Sales Personnel.
Effect of Cancellation. So long as an Independent Rep remains active and complies with the terms of
the Agreement, FreeForYou.com shall pay bonuses and commissions to such Independent Rep in
accordance with the Compensation Plan. An Independent Rep’s bonuses and commissions constitute
the entire consideration for the Independent Rep's efforts in generating sales and all activities related
to generating sales (including building a Downline).
An Independent Rep whose business is cancelled for any reason will lose all Independent Rep rights,
benefits, and privileges. This includes the right to represent himself/herself as an Independent
FreeForYou.com Independent Rep, to sell the Services, and the right to receive commissions, bonuses,
or other income resulting from his/her own sales and the sales and other activities of the Independent
Rep and the Independent Rep’s former Downline sales organization. There is no whole or partial
refund for tangible Sales Tools that are not currently marketable condition if an Independent Rep’s
business is cancelled.
An Independent Rep whose Independent Rep Agreement is canceled shall receive commissions and
bonuses only for the last full pay period he or she was active prior to cancellation (less any amounts
withheld during an investigation preceding an involuntary cancellation).
Reclassification. If at the time of the cancellation of an Independent Rep’s Independent Rep
Agreement the Independent Rep is also a FreeForYou.com Client, the Independent Rep’s status as a
Client shall continue in force unless the Independent Rep cancels his or her Merchant Processing
Agreement with FreeForYou.com. If the former Independent Rep does not request the cancellation
of his or her Merchant Processing Agreement, the former Independent Rep shall be reclassified as a
Client.
Roll-Up of Downline. When an Independent Rep’s Agreement is terminated or cancelled for any
reason, the Independent Rep’s entire Downline rolls upline to the terminated/cancelled Independent
Rep’s Sponsor. As a result, each Independent Rep in the first level immediately below the terminated
Independent Rep on the date of the cancellation will be moved to the first level (“front line”) of the
terminated Independent Rep’s Sponsor. For example, if A is the Sponsor of B, and B is the Sponsor of
C1, C2, and C3, if B’s Agreement is terminated, C1, C2, and C3 will “roll-up” to A and become part of
A’s first level, and A will be the Sponsor of C1, C2, and C3.
54. Indemnification. Each Independent Rep agrees to indemnify and hold harmless FreeForYou.com and
its officers, directors, managers, shareholders, members, partners, employees, agents, affiliates,
successors, and permitted assigns against any and all losses, costs, expenses, consumer reimbursements,
fines, sanctions, damages, liabilities, claims, actions, judgments, settlements, interest, awards, penalties,
fines, expenses, or payments of any other nature that FreeForYou.com incurs resulting from or relating to
any act or omission by the Independent Rep that is illegal, fraudulent, deceptive, negligent, unethical, or
in violation of the Agreement. FreeForYou.com may elect to exercise its indemnification rights through
withholding any compensation due the Independent Rep. This right of setoff shall not constitute
FreeForYou.com’s exclusive means of recovering or collecting funds due FreeForYou.com pursuant to its

right to indemnification.
55. Business Transfers Prohibited. Because the agreement between the Company and each Independent
Rep is a contract for personal services, Independent Rep agrees that he or she is prohibited from selling,
transferring, or assigning their rights under the Agreement to any third party. Any attempt to sell, transfer,
or assign the Agreement shall result in disciplinary sanctions pursuant to Section 51 above.
56. Transfer Upon an Independent Rep’s Death. Upon the death of an Independent Rep, the
Independent Rep’s FreeForYou.com business may be passed to his/her heirs. The beneficiary or transferee
of the business must notify FreeForYou.com of their intention to receive the transfer of the business
within six (6) months of the date of death. If FreeForYou.com receives no such notification within such
time period, the Agreement shall be automatically cancelled. Prior to the actual transfer of the business,
the beneficiary or transferee must provide FreeForYou.com with a certified copy of the death certificate
as well as certified letters testamentary or letters of administration and the written instructions of the
executor of the estate, or an order of the court, that provides direction on the proper disposition of the
business. The beneficiary must also execute and submit to the Company a FreeForYou.com Independent
Rep Agreement within 30 days from the date on which the business is transferred by the estate to the
beneficiary or transferee, or the Agreement will be cancelled. Because FreeForYou.com cannot divide
commissions among multiple beneficiaries or transferees, if there are multiple beneficiaries or transferees
of the business, the beneficiaries or transferees must form a Business Entity and submit a FreeForYou.com
Independent Rep Agreement in the name of the Business Entity. Upon the completion of these
requirements, FreeForYou.com will transfer the business and issue commissions to the individual
beneficiary or Business Entity. During the pendency of the actual transfer of the business, commission and
bonus payments (if any are earned) will be issued in the name of the estate of the deceased Independent
Rep.
57. Divorce of an Independent Rep. FreeForYou.com is not able to divide commissions among multiple
parties, nor is it able to divide a Downline organization. Consequently, in the event that there is a
dissolution (divorce) of the marriage of an Independent Rep, any settlement or divorce decree must award
the business in its entirety to one party. FreeForYou.com will recognize as the owner of the business the
former spouse to whom the business is awarded pursuant to a legally binding settlement agreement or
decree of the court. The former spouse who receives the FreeForYou.com business must also execute and
submit a FreeForYou.com Independent Rep Agreement within 30 days from the date on which the divorce
becomes final or the business will be cancelled.
58. Dissolution of a Business Entity. If a Business Entity that operates a FreeForYou.com business
dissolves, the owners of the Business Entity must instruct the Company on the identity of the proper party
who is to receive the business. The FreeForYou.com business must be awarded to a single individual or
entity that was previously recognized by the Company as an owner of the Business Entity; the Company
cannot divide the business among multiple parties or issue separate commission payments. The recipient
of the FreeForYou.com business must also execute and submit a FreeForYou.com Independent Rep
Agreement to the Company within 30 days from the date of the dissolution of the Business Entity or the
Agreement will be cancelled.
59. Inducing Independent Reps to Violate the Agreement. Independent Reps shall not directly or
indirectly induce, encourage, or assist another Independent Rep to violate the Agreement.
60. Reporting Errors. If an Independent Rep believes that FreeForYou.com has made an error in his/her

compensation, the structure or organization of his/her genealogy, or any other error that impacts the
Independent Rep’s income, he/she must report it to the Company in writing within 30 days from the date
on which the mistake occurred. While FreeForYou.com shall use its best efforts to correct errors reported
more than 60 days after the date of the error, FreeForYou.com shall not be responsible to make changes
or remunerate Independent Reps for losses for mistakes that are reported more than 30 days after the
mistake occurs.
61. International Activities. Independent Reps may not sell or promote the sale of the Services or conduct
business activities of any nature in any foreign country that the Company has not announced is officially
open for business.
62. Arbitration and Dispute Resolution. THIS AGREEMENT IS SUBJECT TO THE FREEFORYOU.COM
INDIVIDUAL ARBITRATION AND DISPUTE RESOLUTION POLICY THAT AFFECTS HOW CLAIMS AN
INDEPENDENT REP MAY HAVE AGAINST FREEFORYOU.COM OR CLAIMS FREEFORYOU.COM MAY HAVE
AGAINST AN INDEPENDENT REP WILL BE RESOLVED. THE PARTIES UNDERSTAND AND AGREE THAT THE
INDIVIDUAL ARBITRATION AGREEMENT AND DISPUTE RESOLUTION POLICY OPERATES AS A SEPARATE
AND DISTINCT AGREEMENT THAT IS SEVERABLE FROM THE REMAINDER OF THE AGREEMENT AND IS
ENFORCEABLE REGARDLESS OF THE ENFORCEABILITY OF ANY OTHER PROVISION OF THE AGREEMENT.
CONSIDERATION FOR THE FREEFORYOU.COM INDIVIDUAL ARBITRATION AGREEMENT AND DISPUTE
RESOLUTION POLICY INCLUDES, WITHOUT LIMITATION, THE PARTIES’ MUTUAL AGREEMENT TO
ARBITRATE CLAIMS. THE PARTIES FURTHER UNDERSTAND AND AGREE THAT THE UNENFORCEABILITY
OF THIS AGREEMENT IN WHOLE OR IN PART SHALL NOT SUPPORT A FINDING THAT THE
FREEFORYOU.COM INDIVIDUAL ARBITRATION AGREEMENT AND DISPUTE RESOLUTION POLICY IS
UNENFORCEABLE.
